SonicConverter — Terms of Use & Non-Disclosure Agreement

By registering for and using SonicConverter ("the Service"), you agree to the following terms. If you do not agree, do not register or use the Service.
1. Confidential Information
The Service, including its audio analysis algorithms, sonic profiling methods, matching technology, database structures, artist intelligence features, and all underlying source code, is the confidential and proprietary property of Alexander Almgren, d/b/a Freshly Baked Studios ("Producer"). This includes but is not limited to:
- Audio analysis algorithms and feature extraction methods
- Track matching and sonic comparison technology
- Artist and market intelligence data, including curated databases
- Production recommendation engines and consensus algorithms
- Deal calculator logic, pricing models, and business formulas
- User interface designs, data visualizations, and reporting formats
- Any data, outputs, or reports generated by the Service that reveal its internal methodology
2. Non-Disclosure Obligations
You agree that you will NOT:
- Copy, reproduce, screenshot, or record the Service's internal analysis methods, algorithms, or proprietary outputs for the purpose of replicating or reverse-engineering the technology
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or data structures of the Service
- Share, distribute, or disclose the Service's proprietary methodology, matching algorithms, or internal data to any third party
- Use knowledge gained from the Service to build, assist in building, or advise on the building of a competing product or service
- Scrape, crawl, or systematically extract data from the Service beyond normal personal use
3. Permitted Use
You MAY:
- Use the Service for your personal music production and career development purposes
- Share your own analysis results (your track's sonic profile, genre classification, and production recommendations) with collaborators, managers, or labels
- Reference the Service publicly (e.g., "analyzed with SonicConverter by Freshly Baked Studios")
4. Your Data
- Audio files you upload are processed for analysis and are not stored permanently after your session
- Your registration information (name, email) is stored securely and used to deliver your results and communicate about the Service
- Your analysis results may be stored to improve the Service
5. Intellectual Property
All intellectual property rights in the Service — including software, algorithms, databases, designs, and branding — are and remain the sole property of Alexander Almgren / Freshly Baked Studios. No rights, licenses, or ownership interests are granted by your use of the Service beyond the limited right to use it as described in Section 3.
6. Remedies
You acknowledge that unauthorized disclosure or use of the Service's confidential information would cause irreparable harm. In the event of a breach, Freshly Baked Studios shall be entitled to seek injunctive relief in addition to all other remedies available at law or in equity, including recovery of attorney's fees.
7. Governing Law
This Agreement shall be governed by the laws of the State of New York. Any dispute shall be resolved in the state or federal courts located in New York, New York.
8. Duration
Your confidentiality obligations under this Agreement survive for as long as the information remains confidential, or three (3) years from the date of your last use of the Service, whichever is longer.
